These Terms of Use ("Terms") constitute a legally binding agreement between you and MAI HOMES INC ("MAI.HOMES," "we," "us," or "our") governing your access to and use of the mai.homes website and any related applications, tools, and services (collectively, the "Services"). Real estate brokerage services available through the Services are provided by a licensed agent Luofei Zhou(DRE# 02226593) affiliated with Real Brokerage Technologies, Inc(DRE# 02022092).

By accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

These Terms include our Privacy Policy, which is incorporated by reference. Your use of the Services is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices.

1. Acceptance of Terms

BY ACCESSING, BROWSING, OR USING THE SERVICES IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES.
  • These Terms apply to all users of the Services, including visitors, registered users, and contributors of content or information.
  • We may update these Terms at any time by posting the revised Terms on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

  • If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you are under 18 years of age, you may not use the Services under any circumstances. We do not knowingly collect information from individuals under 18.

3. Description of Services

MAI.HOMES provides an online platform for real estate information, property search, market data, and related services. Please understand the following about our Services:

Platform Nature

MAI.HOMES is a technology platform that provides real property listings, market data, and search tools. We are not a real estate brokerage, agent, or party to any real estate transaction.

Brokerage Services

Real estate brokerage services are provided through a licensed agent Luofei Zhou(DRE# 02226593) affiliated with Real Brokerage Technologies, Inc(DRE# 02022092). MAI.HOMES does not directly provide brokerage services.

MLS Data Source

Property listing data displayed on the Services is sourced from the California Regional Multiple Listing Service (CRMLS). This data is deemed reliable but not guaranteed. Listing information, including property status, price, and details, may change at any time without notice.

No Guarantees

We do not guarantee the accuracy, completeness, or timeliness of any information provided through the Services. You should independently verify any information before making any real estate decisions.

Professional Advice

The Services do not constitute professional real estate, legal, financial, or tax advice. We recommend consulting with qualified professionals before engaging in any real estate transaction.

4. User Accounts

Certain features of the Services may require you to register and create an account. By creating an account, you agree to the following:

Accurate Information

You must provide accurate, current, and complete information during the registration process and keep your account information updated.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

One Account Per Person

You may not create more than one account per person. You may not use another person's account without their permission.

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. You may deactivate your account at any time by contacting us.

5. Intellectual Property Rights

The Services and all content therein are protected by intellectual property laws.

Ownership

MAI.HOMES and its licensors own all right, title, and interest in and to the Services and all materials and content contained therein, including but not limited to text, images, data, software, code, design, graphics, and logos. All such content is protected by copyright, trademark, and other applicable intellectual property laws.

Limited License

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial purposes, subject to these Terms.

Restrictions

  • You may not modify, copy, reproduce, distribute, or create derivative works based on the Services or any content therein.
  • You may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any portion of the Services.
  • You may not use any automated means, including robots, spiders, crawlers, scrapers, or data mining tools, to access, collect, or interact with the Services.
  • You may not remove, obscure, or modify any copyright, trademark, or other proprietary notices on the Services.
  • You may not use the Services or any content therein for any commercial purpose without our prior written consent.
  • You may not use meta-tags or other hidden text using any MAI.HOMES name, trademark, or logo without our written permission.

Feedback

If you provide us with any feedback, comments, or suggestions regarding the Services ("Feedback"), you assign to us all right, title, and interest in such Feedback. We are free to use Feedback without any obligation to you.

6. User Content

The Services may allow you to submit, post, or transmit content, including but not limited to reviews, comments, photos, and other materials ("User Content"). By submitting User Content, you agree to the following:

License Grant

You grant MAI.HOMES a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content in connection with the Services.

Your Representations

You represent and warrant that: (a) you own or have the necessary rights to submit the User Content; (b) the User Content does not infringe the rights of any third party; (c) the User Content is accurate and not misleading; and (d) the User Content complies with all applicable laws.

Monitoring

We have the right, but not the obligation, to monitor, edit, or remove any User Content at our sole discretion. We are not responsible for any User Content submitted by users.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities when using the Services:

  • Violate any applicable law, regulation, or these Terms.
  • Use the Services for any illegal, fraudulent, or unauthorized purpose.
  • Post or transmit any content that is unlawful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
  • Manipulate, interfere with, or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services.
  • Use any automated means (bots, spiders, scrapers, data mining tools) to access, collect data from, or interact with the Services.
  • Harvest, scrape, or systematically collect any information from the Services, including property listing data and user information.
  • Interfere with other users' use of the Services or solicit users for competitive services.
  • Circumvent any security measures, rate limits, or access controls implemented on the Services.
  • Transmit viruses, worms, malware, or any code of a destructive nature.
  • Use the Services to send unsolicited commercial communications (spam).

Google Maps

The Services use Google Maps. Your use of Google Maps is subject to Google's Terms of Service and Privacy Policy.

MLS Data Providers

Property listing data is provided by the California Regional Multiple Listing Service (CRMLS). Use of this data is subject to the terms and conditions of the applicable MLS.

Your Responsibility

You should review the applicable terms and privacy policies of any third-party service before using it or sharing any information with it. We are not liable for any damages arising from your use of third-party services.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
  • WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WE DO NOT WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING PROPERTY LISTINGS, MARKET DATA, SCHOOL RATINGS, DEMOGRAPHIC DATA, AND PRICING INFORMATION.
  • WE ARE NOT RESPONSIBLE FOR, AND MAKE NO REPRESENTATIONS REGARDING, THE ACTS OR OMISSIONS OF ANY THIRD PARTY, INCLUDING MLS PROVIDERS, REAL ESTATE AGENTS, BROKERS, OR OTHER USERS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAI.HOMES, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • ANY DAMAGES ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONTENT OR CONDUCT ON THE SERVICES; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES.
  • IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US IS TO DISCONTINUE YOUR USE OF THE SERVICES.

  • Your use of or access to the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your User Content or Feedback.
  • Any dispute between you and a third party arising from your use of the Services.

12. CRMLS MLS Disclaimer

Property listing data displayed on the Services is provided by the California Regional Multiple Listing Service (CRMLS). The following disclaimer applies to all listing data sourced from CRMLS:

Based on information from California Regional Multiple Listing Service, Inc. All data, including all measurements and calculations of area, is obtained from various sources and has not been, and will not be, verified by broker or MLS. All information should be independently reviewed and verified for accuracy. Properties may or may not be listed by the office/agent presenting the information.
  • IDX information is provided exclusively for consumers' personal, non-commercial use and may not be used for any purpose other than to identify prospective properties consumers may be interested in purchasing.
  • Information is deemed reliable but not guaranteed to be accurate. Buyer to verify all information.
  • The data contained herein is copyrighted by CRMLS and is protected by all applicable copyright laws. Any unauthorized dissemination of this information is in violation of copyright laws and is strictly prohibited.

14. General Provisions

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Los Angeles County, California.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Services, constitute the entire agreement between you and MAI.HOMES regarding the Services.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
